| (4 cr.) This course examines the main forms of business
organization, (corporation, partnership, limited
partnership, & unincorporated association) and the
concepts, risks and consequences of doing business
through representatives. Consideration is given
to the promotion, organization and management of
the private business enterprise. The course
examines the legal relationships existing between
the corporation and its directors, officers,
stockholders, and creditors; devices to reduce
risks; formation, dissolution and termination of
partnerships; partnership property and
distribution of assets; and agency relationships,
concepts, and responsibilities. Attention is
given to selected provisions of the Federal
Securities Laws and their judicial interpretation.
